For accountants, brokers and advisory firms

Preparation support that leaves you as the adviser.

Sale Prospectus prepares a tailored, buyer-focused Information Memorandum, the anonymised teaser and the financial presentation. We can use concise or more visual layouts, while you retain the client, the judgement on the transaction and the relationship that follows it.

For a closer look at our treatment of adjustments, read the maintainable EBITDA guide.

Scope before work begins

Every instruction is quoted individually.

Scope is agreed in advance and confirmed in writing, covering the document set, the number of revision rounds, the authorised document reviewer and the information required from your client. We can send a printable Preparation Pack ahead of instruction so you know what to gather. Following acceptance, we invite your nominated client contact to confirm who will supply the information, who will approve the final documents and whose branding to use. The designated contributor then completes the secure online fact-find. Nothing is invoiced on an assumed package.

  • A printable Preparation Pack can be supplied after enquiry review to support information gathering with your client.
  • Scope, fee and deliverables agreed in writing before work begins.
  • Financial figures taken from the accounts and schedules you provide.
  • Proposed adjustments described and evidenced, with your client’s approval recorded.
  • Confidential information and section-linked photographs handled securely, with images reviewed before inclusion.
  • You can nominate yourself or an authorised client representative to review the drafts and electronically sign approval of the specific PDFs.
  • After final checks, the authorised reviewer receives a secure ZIP with the final IM, teaser, signed approval certificate, fact-find record and delivery summary.

Working together

Built for both occasional and repeat instructions

Some firms commission a single memorandum a year. Others send several instructions in a quarter. The arrangement is the same: agreed scope, identified inputs, one point of contact.

Preparation capacity when you need it

Take on the occasional sale instruction without holding internal drafting resource, or use us when several instructions run at once and the writing becomes the constraint.

Prepared under your branding

Where agreed, the memorandum and teaser use your firm’s name, logo, colours, buyer enquiry details and approved notices. See the Thinkerz-branded edition of our sample IM to understand the presentation options.

You keep the client relationship

We do not approach your client commercially, do not introduce buyers, and do not correspond with them on commercial terms. The instruction and the relationship remain yours.

What we do not do

This is a preparation service.

We prepare sale materials. The service does not include valuation advice, buyer introductions, negotiation, or management of the sale process. Where those services are needed, they remain with you or with the client’s appointed adviser.

“The document should make the business easier to understand, not harder to question.”
