Sale Prospectus · Legal information
Website and service terms
The basis for using Sale Prospectus and commissioning document preparation. A written engagement defines each instruction.

Your written engagement
Before work begins, a written engagement must confirm the scope, fee, revisions, payment, cancellation, deliverable rights and any agreed liability and governing-law provisions. These website terms do not replace that engagement.01Operator and service
Sale Prospectus is operated by Thinkerz Ltd under Thinkerz Consulting. It provides human-prepared Information Memoranda, anonymised teasers and supporting financial presentations. Customers commission a deliverable; access to the fact-find is for supplying information for that instruction.
02Agreeing an instruction
An enquiry does not create an engagement. Before work starts, scope, deliverables, fees, payment dates, expected timetable, revision rounds and the parties responsible for approval must be agreed in writing. Additional work or changes to scope require agreement. A proposed timetable depends on timely receipt of sufficient information and feedback.
03What is outside scope
Unless separately agreed in an appropriate engagement, preparation does not include audit, independent verification, formal valuation, tax or legal advice, buyer finding, regulated investment advice, negotiation or transaction execution. Producing documents does not guarantee a buyer, a valuation, finance or completion.
04Information and authority
The commissioning party must have authority to instruct the work and share the information and branding supplied. They must provide accurate, sufficiently complete information, identify estimates and material omissions, disclose relevant risks, and notify us of changes. We may seek clarification or pause preparation where information is insufficient or inconsistent.
05Financial adjustments and forecasts
Proposed adjustments are reviewed for presentation and need explanations and support. We do not automatically add back owner remuneration or assume all proposed adjustments are maintainable. Presentation approval is not audit assurance or a promise that a buyer or lender will accept the figures. Forecasts require identified assumptions and must be distinguished from historic results.
06Approval and circulation
The client or designated adviser must review and approve facts, financial presentation, branding, notices and intended circulation before issue. Drafts are not for circulation. The seller or issuing adviser is responsible for agreeing confidentiality arrangements and confirming any transaction-specific legal or regulatory requirements before sharing an IM or teaser. A document disclaimer does not itself establish an exemption or permission to circulate.
07Confidentiality and project access
Keep account credentials private and tell us if project access should change. Use information only for the agreed instruction and disclose it only to authorised parties, necessary service providers or as required by law. Do not upload information you have no right to share. Each party’s confidentiality obligations, permitted recipients and any data-processing arrangements should be documented in the engagement.
08Branding, materials and deliverable rights
The commissioning party must have permission to use supplied logos, photographs and third-party material. The engagement must state permitted use of final documents and the treatment of working files, templates and pre-existing material. We do not acquire ownership of the client’s underlying business information merely by preparing a document.
09Fees, cancellation and complaints
The written engagement sets payment terms and the consequences of cancellation, delay or additional revisions. Raise service concerns promptly at hello@saleprospectus.co.uk, quoting the project reference, so they can be investigated. Any cancellation charge or additional fee must be set out in the agreed engagement or a subsequent written agreement.
10Responsibility and binding terms
Any agreed warranties, liability limitations, governing law and dispute process must be stated in the written engagement. Nothing in these website terms excludes liability for fraud, fraudulent misrepresentation or liability that cannot lawfully be excluded, or removes mandatory rights.
