Recipients must make their own enquiries, undertake due diligence and obtain independent legal, tax, accounting and financial advice.
No statement in this document is intended to form a contractual warranty or representation. Any transaction is subject to negotiation and a definitive written agreement. Nothing in this notice excludes or limits liability for fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded or limited.

Basis of financial presentation
Figures are presented in pounds sterling unless stated otherwise. Each period is labelled by its dates and basis; management, draft, annualised and forecast figures must be distinguished from statutory results. No audit or assurance is provided by the document preparer. Reported EBITDA is operating profit plus depreciation and amortisation; adjusted EBITDA includes only adjustments approved for presentation, with explanations and source references. Approval for presentation is not independent verification or a guarantee that a buyer or lender will accept the adjustment. Owner remuneration must be considered alongside continuing duties and replacement costs. Blank figures mean unavailable, not zero. Any forecasts are estimates based on stated assumptions, are uncertain and are not guarantees of future performance.

01Executive summary and acquisition highlights
Established in the fictional scenario in 2012, Caledonian Building Services provides planned commercial maintenance, remedial repairs and small installations across Scotland’s Central Belt. Its longstanding customer relationships, established supply arrangements and directly employed technical workforce offer an incoming owner an existing operating platform rather than a start-up.
Twenty written maintenance agreements cover 60 sites; 50% of FY2026 revenue arises from contracted maintenance, with a further 30% from separately ordered repeat repairs. The business serves 80 customers and its operations and contracts managers oversee daily delivery. These are illustrative historical characteristics, not guaranteed future income.
The founder wishes to retire and proposes a transitional handover. Continuing commercial and estimating responsibilities would need replacing, and important contract consents and employee retention remain matters for buyer review. FY2026 reported EBITDA is £258,000 and approved illustrative adjusted EBITDA £295,000; detailed schedules appear later. All information is fictional and not an actual acquisition opportunity.
Contracted maintenance base
20 maintenance agreements across 60 sites; £1.225m historical revenue from written contracts.
Delivery management in place
Operations and contracts managers coordinate the employed field team and customer reporting.
Defined ownership succession
A planned founder handover; £55,000 annual replacement commercial management cost included in normalised earnings.
02Proposed sale, reasons and handover
The illustrative proposal is a sale of 100% of shares, including trading assets, goodwill and records, subject to agreed exclusions and definitive documentation. No price, valuation or financing commitment is provided.
Cash, debt, working capital and deferred income require transaction-specific definitions and completion treatment. No cash-free/debt-free assumption in this sample should be taken as an agreed mechanism. Founder handover of up to six months would be separately agreed.
This document is a fictional example of Sale Prospectus document preparation. It is not an invitation to acquire this business. Enquiries about the preparation service may be directed to hello@saleprospectus.co.uk.
03Business history and ownership
Legal entity and ownership
Legal entity: Caledonian Building Services — fictional example; no registered company
Registration number: Not applicable — fictional sample
| Shareholder | Role | Shareholding |
|---|---|---|
| Alex Example (fictional) | Founder / commercial director | 70% |
| Jamie Example (fictional) | Non-working shareholder | 30% |
| Total | 100% |
All entities and shareholders are fictional. There is no registered company or actual transaction.
The fictional business began trading in 2012. Its first multi-site maintenance agreement was secured in 2017, followed by appointment of an operations manager in 2021. Between FY2024 and FY2026, expansion in maintenance sites, pricing reviews and digital scheduling support the illustrative growth in revenue.
Alex Example, the fictional founder and commercial director, owns 70%; Jamie Example owns 30% and has no operational duties or remuneration. Together they would offer 100% of shares in the scenario to facilitate retirement and succession. No actual company registration or legal entity is represented.
04Products and services
FY2026 · year ended 31 March 2026
- Planned maintenance50%
- Reactive and follow-on repairs30%
- Small installation projects20%
Planned maintenance represents £1,225,000, or 50%, of FY2026 revenue. The service consists of scheduled commercial electrical and building-services maintenance, billed monthly under annual or multi-year site agreements. Its illustrative gross margin is 45%.
Reactive and follow-on repairs represent £735,000, or 30%, of revenue. They arise from inspections and service calls but require separate customer orders. Installation projects contribute £490,000, or 20%. Both categories have an illustrative 35% gross margin. The weighted service margins reconcile to the overall 40% gross margin.
Pricing is reviewed annually for contracts and individually for installation quotations. No exclusive rights, proprietary technology or protected territory is assumed. Maintenance is relatively even through the year; project scheduling creates monthly variability.
05Customers, contracts and revenue quality
Revenue quality
FY2026 · year ended 31 March 2026
| Category | Revenue share |
|---|---|
| Written-contract maintenance | 50.0% |
| Repeat-order repairs | 30.0% |
| Installation projects | 20.0% |
Customer concentration
FY2026 · year ended 31 March 2026
| Category | Revenue share |
|---|---|
| Customer A | 14.0% |
| Customer B | 10.0% |
| Customer C | 8.0% |
| Customer D | 6.0% |
| Customer E | 5.0% |
| Other 75 customers | 57.0% |
The fictional business has 80 active customers. Customer A contributes £343,000 (14%); B £245,000 (10%); C £196,000 (8%); D £147,000 (6%); and E £122,500 (5%). The remaining 75 customers contribute £1,396,500 (57%). All concentration figures relate to the year ended 31 March 2026.
Written maintenance agreements account for £1,225,000 of historical revenue, separate from £735,000 of repeat-order work and £490,000 of projects. Twenty agreements cover 60 sites. Contract value, future receipts and historical revenue are not interchangeable.
Illustrative agreement expiries include Customer A in March 2028, Customer B in September 2027 and Customer C in March 2027. Ninety-day termination provisions and change-of-control requirements require review; customer continuity is not guaranteed by the presence of a contract.
At 30 September 2026, accepted installation orders total £360,000. A further £600,000 of unweighted quotations is a separate, uncommitted pipeline. No pipeline is added to historical revenue or normalised earnings.
06Operations and suppliers
The operations manager schedules the field team and monitors completion. The contracts manager oversees job costing and daily customer reporting. Four regular specialist subcontractors supplement employed capacity; they are not counted as employees.
Supplier A accounts for 30% of material purchases, B 20% and C 15%; the remaining suppliers account for 35%. This is purchasing concentration, not revenue concentration. Alternative wholesalers are assumed available; no exclusive supply right is claimed.
A fictional service scheduling system holds job records and reports, with a recurring annual cost of £12,000. A separate accounting package costs £3,600 annually. These subscriptions remain operating expenses. The £12,000 completed FY2026 data-migration project is separately identified as non-recurring.
No actual accreditation, certification or compliance status is claimed in this demonstration. A live instruction would require supporting evidence and current expiry dates.
07Management and employees
Roles and reporting lines confirmed for presentation. Roles shown do not imply additional headcount or independence from the owner; see the accompanying management commentary.

| Contracts manager4 years' service | Contract administration and client reporting Job costing and customer reporting | Subject to an agreed retention plan |
Owner-supplied profiles. Continued employment, retention and succession arrangements remain subject to confirmation.
Workforce by function
| Function | Headcount | Length of service | Indicative salary bands |
|---|---|---|---|
| Operations management | 1 | 4–6 years | Not disclosed — small group |
| Contracts management | 1 | 3–5 years | Not disclosed — small group |
| Qualified engineers | 9 | 1–10 years | £31k–£42k |
| Apprentices | 2 | 1–3 years | Not disclosed — small group |
| Finance / administration | 2 | 2–8 years | Not disclosed — small group |
| Total | 15 |
Aggregated owner-supplied information; salary bands are withheld for small groups. All employee numbers and contractual terms require verification during due diligence.
There are 15 employees excluding owners: one operations manager, one contracts manager, nine qualified engineers, two apprentices and two administration/finance staff. Their combined annual employment cost is £640,000. The role costs are respectively £65,000, £60,000, £405,000, £50,000 and £60,000; each multi-person amount is a group total.
The founder approves estimates, manages selected commercial relationships and provides oversight. The operations and contracts managers run delivery, but the founder’s duties do not disappear after sale. FY2026 adjusted EBITDA therefore deducts £55,000 for an incremental commercial estimator/account manager.
The founder’s £80,000 FY2026 employment cost includes the salary, employer costs and pension charged to reported profit. No additional personal-benefit adjustment is assumed. Dividends are not a P&L expense and are not added back. The non-working shareholder receives no P&L remuneration.
Retention of the operations and contracts managers, practical handover and continuity of estimating are important. The illustrative six-month founder handover does not replace the ongoing management requirement.

Why the location matters
Useful access to the service area and stock storage. Relocation might be possible but would incur cost and require staff/customer planning.
Central ScotlandThe business operates from a fictional 2,400 sq ft third-party leased office and stores in Scotland’s Central Belt. Annual rent is £36,000, included in reported operating expenses and retained in adjusted earnings. Lease expiry is 31 March 2029, with a tenant break on 31 March 2028 subject to six months notice. No street address or real landlord is used.
No freehold is owned or included. Continuation of the lease and any required consent remain matters for transaction review. Relocation is potentially feasible but no saving is assumed.
Ten service vehicles and field equipment have a combined FY2026 net book value of £110,000, which is not an independent market valuation. Vehicle finance totals £60,000. Consumables stock is £45,000 and no work-in-progress asset is assumed.
The illustrative transaction includes company-owned trading material and records, subject to confirming ownership. Third-party software remains licensed; no real patent, trademark registration or domain is represented.
09Financial performance
Three complete historical years are presented below. All figures are fictional and simulate statutory results; they are not filed, audited or independently verified accounts. No forecasts or annualised figures are included.
Revenue increases from £1.8m in FY2024 to £2.45m in FY2026. Gross margin improves from 38% to 40%, while reported EBITDA increases from £194,000 to £258,000. The approved adjustment schedule reconciles reported earnings to maintainable earnings, including the cost of replacing the founder’s continuing commercial duties.
Ongoing marketing expenditure and third-party premises rent remain operating costs. Neither has been added back. The appendix contains the complete three-year results, approved adjustments and the latest-year balance sheet.
Whole pounds; each chart uses its own scale. Periods retain their stated basis; no annualisation or forecasting is applied.

10Growth opportunities and material dependencies
Potential growth comes from adding maintenance sites within existing relationships and improving scheduling. An illustrative £35,000 initial capacity investment and an additional engineer would be needed for the first route; recurring payroll must be budgeted separately. A £15,000 process review and training project illustrates the second route. Neither opportunity is contracted or included in historical earnings adjustments.
Material dependencies include founder commercial involvement, retention of two managers, recruitment of skilled engineers and the 14% largest customer concentration. Contract change-of-control terms may require consent. Project income also creates monthly variability.
No independent market sizing, valuation uplift or assured growth rate is claimed. No legal disputes are assumed, but the fictional scenario cannot substitute for real due diligence.
11Financial schedules and supporting information
Detailed historical financial results, the approved EBITDA adjustment schedule and the latest-year balance sheet follow. All figures are fictional and presented only as an illustration; no independent audit or verification is implied.

Notes on financial performance
FY2024: Fictional FY2024 baseline. Revenue growth in later periods comes from more maintenance sites and follow-on works; no acquisition is assumed. Figures simulate statutory results but are not filed or audited accounts.
FY2025: Fictional FY2025 revenue increased 16.7%. Gross margin improved from 38% to 39% through repricing and scheduling. Includes £8,000 redundancy cost for a discontinued scheduling role; those duties were absorbed by the existing operations team. Figures simulate statutory results but are not filed or audited accounts.
FY2026: Fictional FY2026 revenue increased 16.7% and gross margin reached 40%. Overheads grew faster than gross profit, reflecting office support, training and fleet costs. A £12,000 one-off data migration is included in operating profit; the £12,000 recurring software subscription remains an expense. No forecast or annualisation is presented. Figures simulate statutory results but are not filed or audited accounts.
Whole pounds. A dash indicates a figure that has not been provided. Adjusted EBITDA reflects approved adjustments only; owner remuneration is not added back automatically.

Notes to the balance sheet
FICTIONAL SAMPLE. Figures simulate statutory balances and have not been filed or audited.
Fixed assets are book values for vehicles and equipment, not market valuations. No freehold property is included.
Trade debtors, stock, prepayments, creditors and accruals are operating balances; recoverability, stock condition and the normal working-capital requirement need transaction-specific review.
Cash, borrowings, asset finance, corporation tax and deferred income are shown separately. For this fictional example only, £20,000 of the aggregate accruals has been illustrated as combined VAT, PAYE and NIC payable, with the other accruals reduced by the same amount; no extra liability has been added. Their treatment in any cash-free/debt-free or working-capital mechanism must be agreed; net assets are not the business value or equity purchase price.
