Our process

From first conversation to a document you can stand behind

A deliberate sequence, so that the facts are settled before the writing starts and the writing is settled before anything is shared.

1. Enquiry and preparation

We review your enquiry and discuss the proposed assignment. Where appropriate, we send a printable Information Memorandum Preparation Pack to help you or your adviser gather the relevant business, financial and operational information before work begins.

The pack is provided selectively following enquiry review, not sent automatically or offered as a public download. It is a working checklist, not a requirement to complete the full fact-find before discussing scope and fees.

2. Secure fact-find

Once instructed, your nominated contributor receives access to a secure, sectioned online fact-find covering the same questions as the Preparation Pack. Examples and guidance help you answer in your own words. It saves as you go, with a reusable access link to return later.

Upload accounts and supporting schedules securely, and attach relevant photographs within the fact-find section they relate to. Images are reviewed before any inclusion in the IM. The printed pack helps with information gathering but does not replace online submission.

3. Clarification

We read the fact-find and the supporting information, then raise specific questions where something is unclear, inconsistent or missing. Answers are captured in the same record.

You are not asked to write the document — only to confirm the facts.

4. Drafting

The memorandum, teaser and financial presentation are prepared. Proposed adjustments to earnings are described, evidenced and left for approval rather than applied automatically.

The IM brings acquisition strengths, sale rationale, owner handover and management capabilities forward. Clear financial tables are complemented by selected charts, organisation charts, location visuals and approved photographs where they genuinely help explain the business. Owner remuneration and replacement costs are dealt with explicitly.

5. Secure client review and approval

The nominated client or adviser signs in securely to review the draft Information Memorandum and anonymised teaser. They can request specific corrections within the agreed revision rounds or approve the identified document versions using a simple electronic signature and authority-to-issue declaration.

The approval records the reviewer’s name, capacity and signed declaration against the precise PDFs reviewed. Requested changes are addressed and revised copies sent for fresh approval. The client remains responsible for confirming the accuracy of the information supplied.

6. Final delivery

Following signed client approval, we complete the final internal issuing checks and prepare a private Client Delivery Pack. The authorised client receives a secure download link to a ZIP containing the final, appropriately branded IM and teaser PDFs alongside the approval certificate, submitted fact-find record and delivery summary.

Only the IM and anonymised teaser are intended for subsequent buyer circulation under appropriate confidentiality arrangements. The signed certificate, fact-find and delivery summary remain private client records. Changes after issue are handled under the agreed scope or a new instruction.

Scope boundaries

What the service includes, and what it does not

Being clear about this protects everyone. The service prepares sale materials; it is not a full transaction advisory engagement.
